These Terms of Service govern access to and use of the ScaleAPIs website, platform, dashboards, APIs, demos, and related services made available by Scale APIs.

By accessing or using ScaleAPIs, creating an account, purchasing a subscription, or using any API or related feature, you agree to these Terms.

If you use ScaleAPIs on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms. In that case, "you" includes both you and that entity.

As between you and Scale APIs, you retain your rights in the content and inputs you provide, subject to any third-party rights and the limited rights you grant to Scale APIs to operate, secure, support, and improve the services.

You grant Scale APIs a limited right to host, process, transmit, transform, store, and use your submitted inputs and generated outputs only as reasonably necessary to provide the services, maintain the platform, investigate abuse, comply with law, and provide support.

Some ScaleAPIs products may interact with third-party websites, external assets, or customer-designated destinations. Results may depend on factors outside the control of Scale APIs, including:

Scale APIs does not guarantee compatibility with every website, target environment, customer workflow, or third-party integration.

Generated outputs, hosted delivery modes, async jobs, webhooks, and similar features may also be subject to service-specific limitations, TTLs, retention settings, or technical requirements.

Certain ScaleAPIs services require payment.

You agree to pay all fees, charges, and applicable taxes associated with your selected plan, subscription, or use of the services.

For self-serve purchases, billing may be processed by Stripe or another billing provider disclosed at checkout. Stripe is used as a payment processor unless a checkout flow or written agreement states a different arrangement.

Unless stated otherwise at checkout or in a signed agreement:

Scale APIs may revise pricing, packaging, or plan structure from time to time. Changes will apply prospectively unless otherwise stated.

Refunds, credits, and billing corrections are governed by the applicable Refund Policy, any required law, and any separate written agreement that applies to your account.

Marketplace purchases may also be subject to the marketplace's own billing and refund rules.

You may stop using the services at any time. If you have a paid subscription, cancellation will generally take effect at the end of the current billing period unless stated otherwise in the applicable billing flow or separate agreement.

Scale APIs may suspend, restrict, or terminate access immediately or at any time if:

Scale APIs and its licensors own the platform, software, branding, documentation, site content, and related intellectual property, excluding customer-provided content and outputs to the extent rights in those belong to the customer or a third party.

Except for the limited rights granted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.

To the fullest extent permitted by applicable law, Scale APIs and its affiliates, officers, directors, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, business, goodwill, data, or business interruption, arising out of or related to the services or these Terms, whether the claim is based in contract, tort, negligence, strict liability, statute, or any other legal theory.

To the fullest extent permitted by applicable law, the total aggregate liability of Scale APIs and its affiliates, officers, directors, employees, contractors, licensors, and service providers for all claims arising out of or relating to the services or these Terms will not exceed the greater of:

If a claim arises from free, trial, beta, promotional, demo, or evaluation use of the services for which you did not pay Scale APIs, Scale APIs and its affiliates, officers, directors, employees, contractors, licensors, and service providers will have no liability arising from that use to the fullest extent permitted by applicable law.

You agree to defend, indemnify, and hold harmless Scale APIs and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

Unless otherwise required by applicable law or agreed in a separate written contract, these Terms are governed by the laws of Kenya, without regard to conflict-of-laws principles.

Subject to any non-waivable rights under applicable law, disputes arising out of or relating to these Terms or the services will be submitted to the competent courts of Kenya.

Scale APIs may update these Terms from time to time.

If a change is material, Scale APIs may provide notice through the website, dashboard, email, or other reasonable means. Continued use of the services after updated Terms take effect constitutes acceptance of the updated Terms.

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

Failure to enforce any provision of these Terms is not a waiver of future enforcement.

You may not assign or transfer these Terms without the prior written consent of Scale APIs, except where applicable law requires otherwise. Scale APIs may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.

These Terms, together with any incorporated policies and any applicable written agreement, form the entire agreement between you and Scale APIs regarding the relevant services.
